For the construction phase, we assist in drafting and negotiating supply agreements, construction management, service agreements, turnkey contracts, EPCs, TSAs, BOTs, among others. Regarding the operation phase, we provide advice on drafting and negotiating infrastructure sharing agreements, O&Ms, JOAs, PPAs, take-or-pay agreements, and other instruments aligned with international market standards. We also assist clients in drafting and negotiating all contracts required to obtain project financing, including initial CAPEX.

We participate in the structuring of infrastructure projects, whether greenfield or brownfield, conducting private selection processes (Requests for Proposal) for supplier contracting, monitoring contractual execution, negotiating financing instruments, restructurings, claims, and refinancing.

Our experience in project financing ensures comprehensive support to sponsors, investment funds, financial institutions, credit agencies, and multilateral banks – from defining funding sources to structuring financing, including delivery of bankability reports, risk allocation matrices, as well as drafting all necessary contracts to secure financing from multiple sources, including financial agreements, common terms agreements, security instruments, and intercreditor arrangements.

Additionally, we offer ongoing contractual management support, assisting shareholders, stakeholders, construction companies, and suppliers throughout all project phases, focusing on risk management, analysis and handling of claims, negotiation of amendments, and preventive strategies for efficient dispute resolution.
